Terms

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for all activity that occurs through your account and for keeping your credentials secure. You agree that all information you provide is accurate, current, and complete, and that you have all rights necessary to provide it to us.

2. Your Information and Content

By submitting, uploading, transmitting, or otherwise making available any information, data, communications, photos, listings, addresses, contact details, signals, identifiers, behavioral information, or other content (collectively, “Your Information”), you grant TourTime a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable right and license to access, collect, store, use, host, copy, reproduce, modify, adapt, translate, create derivative works from, publish, transmit, distribute, display, perform, analyze, aggregate, anonymize, combine with other data, sell, license, disclose, share, and otherwise exploit Your Information for any purpose, in any medium, and through any technology now known or later developed, including, without limitation: operating, maintaining, marketing, promoting, and improving the Service; developing, training, evaluating, and deploying machine learning and artificial intelligence models; creating, attributing, routing, brokering, distributing, and selling leads to third parties; sending or facilitating communications of any kind to or from any party; advertising and promotional activities; analytics, research, and product development; security, fraud prevention, and enforcement of these Terms; complying with legal, regulatory, or governmental requests; and any other lawful purpose TourTime determines in its sole discretion.

You represent and warrant that you have all rights, permissions, and authorizations (including any required consents from any individual whose information you submit) necessary to grant the foregoing license and that Your Information does not and will not violate any law or third-party right. Where you submit information about another person, you represent that you are authorized to do so and to bind that person to these Terms with respect to that information.

3. Communications and Consent to Contact

By providing any phone number, email address, messaging handle, or other contact identifier to the Service (whether directly, through a third-party authentication provider, by submitting a form, by unlocking content, by interacting with a listing page, or otherwise), you expressly consent to be contacted by TourTime, listing agents, brokerages, our partners, service providers, and their respective agents, by any means and at any time, for any purpose related to the Service or any property, listing, agent, brokerage, lead, product, or service that TourTime determines may be of interest, including, without limitation, telephone calls, SMS and MMS text messages, push notifications, in-app messages, email, postal mail, voicemail drops, ringless voicemail, auto-dialed and pre-recorded or artificial-voice calls and messages, and AI-generated or AI-assisted communications. This consent applies even if the number or address is on a state, federal, internal, or other do-not-contact list, and is not a condition of any purchase. Standard message and data rates may apply. You may attempt to opt out of certain communications by following instructions provided in those communications, but you acknowledge that operational, transactional, security, and legal messages may continue regardless, and that consent granted at account creation, lead submission, or unlock survives any individual opt-out unless and until TourTime confirms otherwise in writing.

TourTime may share your contact information with listing agents, brokerages, lead buyers, partners, affiliates, successors, and service providers, who may in turn contact you using the methods described above. You release TourTime from any claim arising out of communications sent to or received from you in connection with the Service.

4. Service Availability and Changes

TourTime may, at any time and in its sole discretion, with or without notice and without any liability to you: add, modify, limit, suspend, degrade, throttle, restrict, withdraw, or discontinue any part of the Service, any feature, any listing page, any account, any access right, any data, any integration, any communication, or the Service as a whole; impose limits on usage, storage, or transmission; change pricing or fees; require additional verification; reject or remove any content; or change the technical or operational requirements for using the Service. We do not warrant that the Service will be uninterrupted, secure, accurate, complete, available, or error-free.

5. Suspension, Termination, and Bans

TourTime may suspend, restrict, deactivate, terminate, ban, or permanently bar you, your account, your access, your IP addresses, your devices, your phone numbers, your email addresses, any affiliated accounts, and any associated content from the Service at any time, for any reason or no reason, with or without notice, and in TourTime’s sole and absolute discretion. Reasons may include, without limitation, suspected violation of these Terms, suspected fraud or abuse, suspected unlawful activity, risk to TourTime or any third party, business or commercial reasons, changes to the Service, or no reason at all. Upon termination, your right to access and use the Service ceases immediately; TourTime may retain, anonymize, aggregate, transfer, or continue to use Your Information in accordance with these Terms; and any fees paid are non-refundable except as required by law. You have no property, contractual, or other right or interest in continued access to the Service.

6. Acceptable Use

You agree not to: (a) use the Service in violation of any law, rule, regulation, or third-party right; (b) misrepresent your identity, affiliation, or authority; (c) interfere with, disrupt, probe, scrape, reverse engineer, decompile, or attempt to gain unauthorized access to the Service or any related system; (d) upload or transmit malware, harmful code, or unsolicited communications; (e) use the Service to harass, defraud, or harm any person; (f) circumvent any access, security, rate, or usage limit; (g) use the Service to compete with TourTime or to build a competing product or dataset; or (h) use the Service in any manner that TourTime determines, in its sole discretion, is objectionable, harmful, or inconsistent with the intended use of the Service. TourTime may, but has no obligation to, monitor, investigate, or enforce compliance.

7. Third-Party Services and Listings

The Service may link to, integrate with, or display content from third parties, including listing agents, brokerages, MLS sources, authentication providers, mapping providers, payment processors, advertisers, and others. TourTime does not control and is not responsible for any third-party service, content, listing, agent, brokerage, lead, transaction, communication, or outcome. Your dealings with any third party are solely between you and that third party, and TourTime is not a real estate broker, agent, lender, attorney, advisor, or fiduciary.

8. Intellectual Property

The Service and all related software, content, designs, models, trademarks, logos, and materials are owned by TourTime or its licensors and are protected by applicable laws. Except for the limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service in accordance with these Terms, no rights are granted to you, and all rights not expressly granted are reserved.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR QUIET ENJOYMENT. TOURTIME DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION, LISTING, AGENT, LEAD, OR COMMUNICATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOURTIME, ITS AFFILIATES, OR ITS LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TOURTIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOURTIME’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO TOURTIME IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will defend, indemnify, and hold harmless TourTime and its affiliates and their respective officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Information; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any communication sent in reliance on consent or information you provided.

12. Arbitration and Class Waiver

Any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved exclusively by final and binding individual arbitration administered by a nationally recognized arbitration provider under its then-current rules. You and TourTime each waive any right to a jury trial and any right to participate in a class, collective, consolidated, or representative action. If this waiver is found unenforceable as to any claim, that claim will proceed in court, but all other claims remain in arbitration.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration provision above, the exclusive venue for any action is the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to These Terms

TourTime may change these Terms at any time. Changes are effective when posted unless otherwise stated. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.

15. Miscellaneous

These Terms are the entire agreement between you and TourTime regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. TourTime’s failure to enforce any right is not a waiver. You may not assign these Terms; TourTime may assign them freely. Section headings are for convenience only. The following sections survive termination: 2, 3, 5, and 8 through 15.
